Terms & Conditions
1. Parties
1.1 printingwales.com ltd; and
1.2 The company / organization listed on the Instruction Agreement (the client).
2. Commencement Date
The commencement date is as listed on the Instruction Agreement next to your signature.
3. Term
3.1 The term will commence on the Commencement Date, and will continue for an initial period of 12 months (the Òinitial periodÓ), subject to earlier termination by the Supplier upon breach of the general Conditions of Supply (available on request).
3.2 The Term will continue after the Initial Period, unless and until terminated by either party giving the other not less than [three] months written notice.
4. Services
4.1 The Supplier will provide and / or arrange for the provision of the following Services:
4.1.1 Design a website for the Client on the basis of a predetermined model;
4.1.2 Arrange for the hosting of the website;
4.1.3 Register the desired domain name with the appropriate authorities;
4.1.4 Set up the ClientÕs website including, where appropriate, photographs of the Clients business; and;
4.1.5 Update that website.
4.2 The Supplier will endeavour to have the website built and ready to be viewed by The Client within ten working days of the receipt of all Input Material.
4.3 Our services may only be used for lawful purposes. Clients must ensure the contents of the pages do not
violate UK law. We reserve the right to refuse any hyperlink, image, text or advertisement.
4.4 All web site designs created by the supplier will include appropriate links to printingwales.com who own the web design copyright.
4.5 Clients agree to indemnify the supplier from any and all liabilities, penalties, losses, damages, costs,
expenses, or claims caused by or resulting indirectly from Clients' use of Our service that damages either the Client, The supplier, or any other party or parties without limitation or exception.
4.5 These terms supersede any written, electronic, or oral communication the Client may have had with the Supplier or any agent or representative thereof, and constitutes the complete and total agreement between the parties.
5. Review
5.1. The Supplier will provide the Client with an opportunity to review the appearance and content of the website before it is published on the internet (the ÒReview PeriodÓ).
5.2. If the client cancels its order for the above services at the Review Period or at any time after work has been commenced by the Supplier, the Supplier shall be entitled to make a cancellation charge of the set up fee (ÔInitial ChargeÕ).
5.3. If the client wished to update its website, the Client will inform the Supplier of the updated material it wishes to be included in a pre-defined format. which will be notified to the Client.
5.4. The Supplier will endeavour to perform all updates within two working days of the receipt of the updated material from the Client in the correct format.
6. Charges
6.1 The initial fee must be paid before work commences unless agreed otherwise with the supplier.
6.2 The Charges for the Services are an initial fee of the £99.00 (the ÒInitial ChargeÓ) with additional further monthly payments of £30.00 for the continuation of the Term
6.3 The Charges are payable as follows:
6.3.1 The Initial Charge to to be paid on sign up of instruction; and
6.3.2 The monthly payments to start one month from the commencement date.
